Terms of service
1. Introduction
Welcome to ARIS International, LLC (“ARIS,” “we,” “us,” or “our”). We provide members and non-members (“Users” or “Clients”) with luxury lifestyle and travel coordination services—including on-demand black-car transportation, yacht charters, private jet bookings, and concierge offerings (collectively, the “Services”). By accessing our website, mobile application, or booking Services (the “Platform”), you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Scope of Services & Affiliate Status
ARIS acts solely as a broker and concierge platform connecting Users with independent third-party providers (“Affiliates”).
ARIS does not own or operate vehicles, vessels, aircraft, or concierge services and is not a common carrier, motor carrier, air carrier, or vessel operator.
Affiliates are independent contractors, not ARIS agents or employees. ARIS disclaims responsibility for their acts, omissions, representations, or policies.Affiliates must maintain all licenses, permits, and insurance required by applicable law. Upon request, ARIS may require proof of insurance and may require ARIS to be named as an Additional Insured.
Operator Disclosure: For air and yacht bookings, ARIS will disclose the operating carrier/vessel operator prior to travel, and for air, ARIS will comply with DOT Part 295 consumer disclosure obligations.
3. Eligibility, KYC & Sanctions
You must be 18+ and legally able to contract. If booking for others, you represent you’re authorized to accept these Terms on their behalf.
You authorize ARIS to conduct reasonable identity verification (KYC) and screening, including checks against OFAC or other sanctions lists. ARIS may decline/suspend bookings where prohibited by law.
4. User Accounts
You agree to provide accurate information, keep credentials secure, promptly update details (including payment methods), and notify ARIS of any unauthorized use. You are responsible for all activity under your account.
5. Membership Programs
ARIS may offer tiered memberships (priority access, bundled hours, exclusive benefits). Memberships renew automatically unless canceled per the membership agreement. Membership fees are non-refundable except as provided therein or required by law.
6. Bookings & Payments
6.1 Pricing & Taxes
Prices are generally set by Affiliates and vary by distance, duration, service level, seasonality, and market conditions. Taxes, fees, surcharges, tolls, parking, port/landing fees, de-icing, Wi-Fi, catering, APA (for certain yacht charters), crew gratuities, cleaning/damage fees, and other incidentals may apply and are your responsibility.
6.2 Deposits, Prepayment & Security Holds
Certain bookings (especially yachts and jets) may require deposits, advance payment, and/or refundable security holds for incidentals/damages. Deposit/refund terms will be disclosed prior to checkout. If you cancel, deposits may be retained as liquidated damages per Section 10.
6.3 Payment Authorization (Cards & ACH)
By providing a payment method, you authorize ARIS to charge credit/debit card, ACH (Automated Clearing House), or other approved methods for booking amounts, taxes, and post-service adjustments (e.g., overtime, waiting time, incidentals).
ACH: You authorize electronic debits/credits to your designated account and agree you remain liable for all fees, penalties, and costs arising from returned ACH transactions.
ARIS may pre-authorize or temporarily hold funds to verify payment.
6.4 Processing Fees & Surcharges
Where permitted by law and card-network rules, card surcharges may apply and will be disclosed at booking. ACH or other low-cost methods may avoid surcharges.
6.5 Chargebacks & Collections
You agree not to initiate chargebacks for amounts properly due under these Terms. If a chargeback occurs, you remain liable for the underlying balance, chargeback fees, collection costs, reasonable attorneys’ fees, and interest at the lesser of 1.5% per month or the maximum allowed by law.
6.6 Currency
Unless otherwise specified at checkout, all amounts are in USD.
7. Service-Specific Conditions & Disclaimers
7.1 Black Car Services
ARIS is not a motor carrier. Ground transport is provided by licensed and insured operators.
Time & Billing: Common models include point-to-point or hourly (with minimums); hourly often billed garage-to-garage. Waiting time, tolls, parking, and gratuities may apply.
Airport: Waiting time and no-show rules vary by airport and will be disclosed.
Safety/Conduct: No smoking; pets permitted only per operator policy; child seats are the Client’s responsibility unless arranged in advance.
7.2 Private Jet Charters (DOT Part 295 Broker)
ARIS acts solely as an Air Charter Broker under DOT Part 295; ARIS does not own or operate aircraft.
Flights are conducted by FAA Part 135 operators or foreign equivalents.
Required disclaimer: “ARIS International, LLC acts solely as an Air Charter Broker under DOT Part 295. ARIS does not own or operate aircraft. All flights are conducted by properly licensed operators.”
Operational Items: Weight/baggage limits, crew duty time rules, slots/permits, TSA/ID requirements, catering, de-icing, repositioning, hangar, and international fees may apply.
The pilot in command has final authority regarding safety, routing, carriage of dangerous goods, weather, and passenger conduct.
7.3 Yacht Charters
ARIS does not own or operate vessels. Services are performed by licensed providers with captains/crew meeting U.S. Coast Guard or foreign-equivalent standards.
Passenger limits and inspection status determine allowable headcount. Itinerary, swim/sport activities, alcohol, and safety rules are at the captain’s discretion.
APA/Variable Costs: Fuel, docking, provisioning, marine park/port fees, and gratuities may be billed separately (including via APA where used).
Weather/safety calls are made by the captain.
7.4 Concierge Services
ARIS coordinates third-party offerings; ARIS does not provide medical, legal, financial, or security services. Provider terms govern performance. You’re responsible for verifying suitability and any restrictions.
8. Scheduling, No-Shows, Waiting Time, Overtime & Damages
Scheduling: Times are estimates and subject to traffic, ATC, marine conditions, and operator constraints.
No-Show: A no-show at pickup/boarding time may be charged up to 100% of the service or minimum hours, as applicable.
Waiting Time/Overtime: May accrue in fixed increments (e.g., per 15 min/30 min/hour) beyond the included time.
Damage/Cleaning: You are responsible for excess wear, damage, bio-hazard/cleaning (e.g., smoke, spills, vomit), and missing items at operator-posted rates.
9. User Conduct & Non-Circumvention
You agree not to: (i) engage in illegal, abusive, or unsafe conduct; (ii) transport contraband or hazardous materials; (iii) interfere with crew instructions; (iv) book directly with Affiliates to circumvent ARIS for 24 months after your last ARIS booking. Violation may result in liquidated damages equal to the commission ARIS would have earned.
10. Cancellations & Refunds
Black Cars
Transfers: cancel > 6 hrs before pickup = full refund; within 6 hrs = 1 hour charge.
Hourly: cancel > 24 hrs = full refund; within 24 hrs = minimum duration charged.
Yachts
30 days before charter = deposit forfeited.
14–30 days = 50% fee.
< 14 days = 100% fee.
Captain weather/safety cancellation → reschedule or credit.
Jets
7 days = 25% fee.
≤7 days = 100% fee.
Weather/ATC/mechanical → reschedule or credit.
Refund Method
All refunds will be processed exclusively back to the Client’s designated account on file with ARIS.
Refunds may not be directed to third-party accounts or alternative payment methods.
Refund timing may vary by payment processor and banking institution.
11. Force Majeure (Expanded)
Neither ARIS nor Affiliates are liable for delay/failure caused by events beyond reasonable control, including acts of God, severe weather, labor disputes, epidemic/pandemic, government orders/restrictions, war/terrorism, cyberattacks, utility/telecom failures, supplier/operator failures, or airport/port closures. Relief is limited to credits or refunds for unrendered services per the applicable policy.
12. Intellectual Property & Platform License; DMCA
The Platform (software, text, graphics, logos) is owned by ARIS or its licensors and protected by IP laws.
ARIS grants you a limited, revocable, non-transferable license to access and use the Platform for personal, non-commercial purposes.
Prohibited: scraping, data mining, reverse engineering, automated access, or creating derivative works without permission.
User Content License: If you submit reviews/images to the Platform, you grant ARIS a worldwide, royalty-free, sublicensable license to use, reproduce, and display such content for Platform operations and marketing, subject to our
Privacy Policy.
DMCA: If you believe content infringes your rights, you may submit a DMCA notice to ARIS’s designated agent with required details.
13. Privacy & Data
Your use of the Services is subject to ARIS’s Privacy Policy https://luxurytravelaris.com/privacy. By using the Services, you consent to ARIS’s collection, use, sharing, and international transfer of personal data—including transfers to third-party processors—consistent with the Privacy Policy and applicable law.
14. Compliance; Export Controls & Sanctions
You agree to comply with all applicable laws, including export controls, anti-boycott, and economic sanctions. ARIS may decline, cancel, or suspend Services where prohibited.
15. Disclaimers; Limitation of Liability
Affiliate services are provided “as is” and as available. ARIS disclaims all warranties (express, implied, or statutory) to the fullest extent permitted by law.
ARIS is not liable for accidents, delays, losses, or damages caused by Affiliates or third parties.
Damages Cap: ARIS’s total liability for any claim is limited to the fees you paid to ARIS for the service giving rise to the claim in the 12 months preceding the event.
Some jurisdictions do not allow certain limitations; those limitations apply to the maximum extent permitted.
16. Indemnification
You agree to indemnify, defend, and hold harmless ARIS and its officers, directors, members, employees, and agents from claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Services, breach of these Terms, violation of law, or third-party rights.
17. Dispute Resolution; Class Action Waiver; Small-Claims Carve-Out
Disputes will first be addressed informally. If unresolved within 30 days, the dispute will be submitted to AAA mediation, and if still unresolved, to binding arbitration before a single arbitrator under AAA Commercial Rules in Orange County, California (or AAA Consumer Rules where applicable).
Class Action Waiver: You agree to individual resolution and waive any right to class/representative actions.
Small-Claims Carve-Out: Either party may bring qualifying claims in small-claims court.
Injunctive Relief: Either party may seek temporary or permanent injunctive relief for IP/confidentiality violations in a court of competent jurisdiction.
If arbitration is found unenforceable, exclusive jurisdiction lies in the state or federal courts of Delaware.
18. Assignment; Entire Agreement; Waiver; Severability; Survival; Notices; E-Sign
You may not assign these Terms without ARIS’s consent; ARIS may assign to an affiliate/successor.
These Terms, together with any membership agreement and Privacy Policy, constitute the entire agreement and supersede prior understandings.
No waiver of any term is a continuing waiver unless in writing and signed.
If any provision is held invalid, the remainder remains in effect (severability).
Survival: Sections 2–3, 6–18 survive termination. You consent to electronic communications and electronic signatures for all purposes under these Terms.
Notices may be provided via the Platform, email, or to your account address; your notices to ARIS must be sent to the address below.
19. Modifications
ARIS may update these Terms. Continued use after the effective date constitutes acceptance. Material changes will be communicated via email, in-app notice, or on-site banner.
